Pauline Dupuy is a counsel specialising in corporate law and mergers & acquisitions. With over 20 years of experience gained within leading business law firms in Bordeaux, she joins DELCADE in May 2026 to advise the firm’s clients on their disposal, acquisition and restructuring transactions.
She advises on complex M&A, LBO/OBO and fundraising transactions for executives and investment funds, covering the drafting and negotiation of legal documentation (merger and contribution agreements, general meetings resolutions), letters of intent, share purchase agreements, warranties and indemnities, shareholders’ agreements, as well as the preparation and management of data rooms. She further counsels clients on capital transactions and restructurings, including capital increases and reductions, free share allocations, bond issuances and other securities offerings. She also oversees the ongoing corporate governance and secretarial matters of commercial and civil entities.
Prior to being called to the Bar, Pauline Dupuy spent some ten years practising as a lawyer, as in-house counsel at Groupe Gascogne and in private practice, an experience that continues to shape her keen understanding of the operational and strategic imperatives of her clients. She subsequently practised for over 15 years within prominent business law firms in Bordeaux, advising a broad client base of SMEs and mid-cap companies across diverse sectors.
Pauline Dupuy holds a Master’s degree in Business Law, a Bachelor’s degree in Art History and a postgraduate degree in Business Administration from the University of Bordeaux. She has been a member of the Bordeaux Bar since 2011.
