master franchise

Master franchising is a common business development strategy in international business. What is the Master Franchise? A franchisor grants sub-franchising rights for a specific territory to a sub-franchisor (the “master franchisee”). The master franchisee is then responsible for creating and managing additional franchises in the designated region.

One of the main advantages of the master franchise is that it allows the franchisor to rapidly develop its brand in a new territory without having to directly manage all the franchise operations on site. This also allows the master franchisee to invest in an already established brand, benefit from ongoing support from the franchisor, and achieve economies of scale.

However, franchisors need to be cautious when selecting a master franchisee. Master franchisees must have a deep understanding of the local market and proven experience in franchise management. They also need to have enough capital to invest in the business and a good business reputation.

Franchisors also need to ensure that the terms of the master franchise agreement are clear and sufficiently protect their intellectual property rights and reputation. The contract should specify the master franchisee’s obligations in terms of brand development.

In return, franchisors must provide ongoing support to their master franchisees, especially in terms of training and marketing. The success of the master franchise largely depends on the quality of support offered by the franchisor.

Thus, the master franchise can be an effective development strategy for companies looking to expand internationally. However, it requires careful planning and prudent selection of master franchisees to ensure the company’s long-term success.

DELCADE has developed specific expertise in the legal support of French networks wishing to export or, conversely, foreign networks wishing to invest in France, or even Europe.

Jean-Philippe CHENARD, partner and franchise law expert, has written a white paper in which he offers some advice on master franchising, based on real situations our clients have faced:

We offer our clients the opportunity to identify the most relevant legal framework to structure their development, whether it involves foreign companies setting up their networks in France or French companies wishing to export their network. We then draft the necessary documents for their operational realization.

For example, if the master franchise option has been chosen, we offer to draft:

Thanks to our partners, we also offer to identify candidates for the master franchise in France for a foreign brand and to negotiate the contracts that will initiate the activity.

Our services are billed on a flat-rate basis and are subject to a fee agreement in advance.
